We are looking for a skilled and experienced Senior Legal Counsel (Corporate and M&A) who dares to go beyond average. You will join a team of 5 game changers led by Vladyslav Aleksandrov. If you are passionate about tech as much as we are, then ready, steady, Roosh.
You will:
→ reviewing and drafting finance and commercial agreements, including SPAs, SHAs, option agreements, loan agreements, pledge agreements, and security agreements, governed by English, US, and Cyprus law,
→ drafting and reviewing corporate documents (board and shareholders’ resolutions, Articles of Association, PoAs, etc.),
→ providing legal opinions on corporate and other legal matters,
→ overseeing and enforcing compliance with corporate legislation and requirements in various jurisdictions (such as Cyprus, UK, USA),
→ supporting day-to-day legal activities and operations of Roosh and its project companies,
→ managing Roosh projects independently,
→ communicating with service providers, law firms, auditors,
→ mentoring legal team.
about you:
→ law degree from a reputable university (LLM will be an asset),
→ 4+ years of relevant experience in IT, corporate, commercial, and contract law with an IT company, international or top-tier law firm, or Big 4,
→ advanced English,
→ strong analytical skills and attention to details,
→ ability to meet deadlines,
→ hard-working, well-organized, proactive, and able to manage complex projects independently.

Professional experience:
contract law (commercial and M&A contracts governed by English, US, Cyprus, and Ukrainian law), including experience in working on M&A and venture capital transactions,
→ corporate law (with a focus on such jurisdictions as Delaware, Cyprus, and the UK), tax, and corporate structuring,
→ advising companies through the life cycle of business operations, including commercial, contract, and compliance matters.
